As Marqeta’s Assistant General Counsel, Corporate, you will be a senior member of the Corporate Legal team, serving as the right hand to the Deputy General Counsel on all corporate and securities matters. This role involves owning core SEC reporting workstreams, driving corporate governance, supporting the Board and its committees, and serving as the primary drafter of the company's proxy statement and related disclosure materials. The ideal candidate has extensive experience in public company securities and governance work and is ready to take full ownership of these areas.

Key responsibilities include managing Marqeta's quarterly and annual SEC reporting cycle, including 10-K, 10-Q, and 8-K filings, in close partnership with Finance, outside counsel, and the Disclosure Committee. You will serve as the primary author and coordinator of the annual proxy statement and related shareholder meeting materials, draft and review all Form 8-K filings for material events, oversee Section 16 reporting obligations for executive officers and directors, and monitor and advise on SEC rulemaking developments and NYSE listing standards.

The role also involves supporting the Deputy General Counsel in staffing the Marqeta Board of Directors and its committees, preparing board and committee materials, drafting and finalizing minutes for meetings, and managing corporate governance formalities. Additionally, you will administer and enforce Marqeta's Insider Trading Policy, oversee Rule 10b5-1 plan adoptions, partner with the People/Total Rewards team on equity plan administration matters, and provide legal support for corporate transactions and general corporate matters.

Required qualifications include a Juris Doctor (JD) degree from an accredited law school, admission to the bar in at least one U.S. jurisdiction, and a minimum of 7 years of experience in corporate and securities law, with significant experience in public company reporting and governance. The ideal candidate will have strong drafting and analytical skills, excellent attention to detail, and the ability to work collaboratively across teams in a fast-paced environment.
