Associate Counsel
Fortitude Mining, a dynamic and rapidly growing cryptocurrency mining company, is seeking an Associate Counsel to join its legal team. As a wholly-owned subsidiary of Digital Currency Group (DCG), Fortitude Mining specializes in diversified digital asset mining, focusing on assets with high long-term growth potential. The company operates a fleet of Bitcoin miners comparable to the best-capitalized public miners, positioning itself at the center of the mining ecosystem with unparalleled relationships and access to industry intelligence.
In this role, the Associate Counsel will support a broad range of corporate, securities, transactional, and governance matters. Key responsibilities include assisting with corporate governance, such as drafting board materials and maintaining corporate records; supporting securities law matters, including periodic reporting and compliance with NYSE/Nasdaq listing standards; and aiding in M&A transactions, joint ventures, financings, and other strategic corporate initiatives. The position also involves reviewing, drafting, and negotiating various commercial agreements, monitoring regulatory developments affecting digital assets and mining, and providing practical legal advice to business teams and leadership.
The ideal candidate will have a Juris Doctor (J.D.) from an accredited law school and be admitted to at least one U.S. state bar. They should possess 2–3 years of substantive experience in corporate law, securities, or mergers & acquisitions, gained either at an AM Law 100 firm or in-house at a NYSE or Nasdaq-listed company. Strong drafting, analytical, and organizational skills are essential, along with the ability to prioritize and manage multiple projects with minimal oversight. Comfort with working autonomously in a remote-first environment and demonstrated initiative, resourcefulness, and sound business judgment are also important. Experience in the cryptocurrency, blockchain, or digital asset industry is a plus but not required.
