Associate General Counsel, Strategic Transactions
Hut 8 is seeking an experienced Associate General Counsel – Strategic Transactions to lead the legal execution of the company's most significant corporate initiatives. This role involves overseeing mergers and acquisitions, joint ventures, strategic partnerships, and other complex transactions central to Hut 8's growth strategy. The successful candidate will collaborate closely with executive leadership and cross-functional teams to structure, negotiate, and execute sophisticated deals within the rapidly evolving sectors of energy, AI infrastructure, and digital assets.
Key responsibilities include leading legal support for mergers, acquisitions, divestitures, joint ventures, strategic partnerships, and minority investments. The role encompasses all phases of transaction execution, such as structuring, due diligence, negotiation, documentation, financing coordination, closing, and integration. Additionally, the Associate General Counsel will support transaction-related financing activities, including acquisition financings, project financings, debt facilities, and related covenant and diligence matters. Collaboration with Finance, Treasury, Tax, Development, Investor Relations, and other business teams is essential to ensure seamless transaction execution. Drafting and negotiating complex commercial and transaction-related agreements to support the company's strategic objectives is also a key aspect of the role. Managing outside counsel and specialized advisors to deliver high-quality, cost-effective legal support on sophisticated matters is expected. Serving as a trusted advisor to the Chief Legal Officer and senior leadership on transaction strategy, risk assessment, and execution considerations is a critical component of this position.
The ideal candidate will have significant experience leading complex M&A transactions, joint ventures, strategic investments, and other high-value corporate transactions from structuring through closing. Experience supporting sophisticated financing transactions, including acquisition financings, structured debt arrangements, project financings, or other capital markets and infrastructure-related transactions, is essential. The candidate should be a strategic problem solver capable of navigating complex commercial, regulatory, and structural issues and developing practical, business-oriented solutions. Effective cross-functional collaboration across legal, finance, tax, treasury, development, and executive teams is crucial, along with the ability to coordinate multiple stakeholders under demanding timelines. The candidate should be independent and commercially minded, comfortable operating independently, managing multiple high-priority matters simultaneously, and exercising sound judgment in dynamic environments.
