Commercial Counsel
Cohere Health is seeking a Commercial Counsel to join its Legal team, focusing on supporting the Growth team by managing contracts and customer negotiations. This role involves close collaboration with stakeholders across Legal, Finance, Product, Sales, and other internal departments to ensure effective delivery of legal services that support Cohere and its customers.
Key responsibilities include providing transactional and commercial counsel for the company's product offerings to health insurer customers and commercial partners. The Commercial Counsel will lead commercial contracting efforts by drafting, reviewing, and negotiating various agreements, such as customer contracts, vendor agreements, marketing materials, partnerships, licensing deals, NDAs, and SaaS agreements, with a primary focus on Sales transactions, including enterprise customer contracts. Additionally, the role involves building and maintaining commercial legal infrastructure, including contract templates, playbooks, policies, and process improvements to enhance efficiency while managing risk.
The ideal candidate will possess a J.D. from an accredited law school and active bar membership in good standing, along with 3–5 years of corporate legal experience, including time at a law firm and in-house, preferably within the health tech sector. A strong track record in drafting and negotiating commercial contracts, particularly in the technology space, is essential. Excellent verbal and written communication skills are required, with the ability to translate complex legal concepts into clear, practical guidance. The candidate should demonstrate a proactive, solutions-oriented mindset, strong business acumen, and the ability to operate with urgency in a fast-paced, results-driven environment.
Cohere Health offers a fully remote opportunity with approximately 10% travel.
