Corporate Counsel

Riskified is seeking a Corporate Counsel to join our legal team in New York. This role involves working closely with the Director of Legal and other team members to manage corporate legal functions, including SEC reporting, corporate governance, and regulatory compliance. As a key advisor to senior leadership, the Corporate Counsel will navigate complex strategic decisions in a dynamic, global environment.

The Corporate Counsel will be responsible for preparing and reviewing Exchange Act filings such as 10-Ks, 10-Qs, 8-Ks, and Proxy Statements. They will assist in planning and preparing for board and committee meetings, as well as annual shareholder meetings. Additionally, the role includes maintaining corporate compliance programs, providing legal support on international entity management, and advising on corporate transactions, including securities offerings and acquisitions.

Candidates must possess a Juris Doctor (JD) degree and be a member of the New York or another U.S. state Bar. A minimum of 2 to 3 years of relevant experience at a top-tier law firm is required, with a background in securities laws, public company disclosure, corporate governance, and/or mergers and acquisitions. Prior experience drafting and reviewing Exchange Act filings is essential.
