Corporate Counsel
Toshiba Global Commerce Solutions is seeking a Corporate Counsel to join its legal team at the corporate headquarters in Research Triangle Park, NC. Reporting directly to the Deputy General Counsel, this role focuses on managing corporate governance for the company's foreign subsidiaries and supporting various departments, including Finance, Treasury, and Tax. The position also involves providing legal support for operations in Latin America, particularly in drafting and negotiating contracts and advising on local laws.
Key responsibilities include overseeing subsidiary governance tasks such as board meeting preparation, statutory filings, and powers of attorney. The Corporate Counsel will maintain the company's Delegation of Authority, advise employees accordingly, and draft and negotiate a variety of commercial contracts related to technology product sales and service procurement. Additional duties involve assisting with matters for Procurement, Human Resources, Finance, Treasury, and Tax departments, responding to auditor requests, and resolving adversarial matters as they arise.
The ideal candidate holds a Juris Doctorate degree and has 3-5 years of legal experience, with a license to practice law in North Carolina. Essential skills include strong analytical abilities, sound judgment, and the capacity to provide practical advice. The role requires excellent written and verbal communication skills, confidence in client interactions, and the ability to work both independently and collaboratively in a fast-paced environment. Given the global scope of responsibilities, availability via phone and email during off-hours is necessary.
