Corporate Paralegal – Entity Management
The Corporate Paralegal – Entity Management at Core Scientific will work under the direction of the Chief Legal Officer and collaborate with attorneys and other professionals in the legal department to provide exceptional legal and administrative services to the company's executives and employees. This role focuses on corporate governance, entity management, compliance, transactional matters, contract administration, and departmental reporting. The paralegal will partner closely with attorneys, executives, and cross-functional teams to ensure accurate recordkeeping, timely filings, and the smooth execution of legal and governance processes in a fast-paced corporate environment.
Key responsibilities include supporting the entity management function by assisting with the lifecycle of legal entities, such as formations, registrations, amendments, mergers, conversions, dissolutions, and withdrawals. The paralegal will manage the company’s portfolio of legal entities by tracking and supporting annual reports, foreign qualifications, business license renewals, tax registrations, and other routine compliance obligations. Additionally, the role involves maintaining and updating centralized entity records, preparing and filing routine corporate governance documents, providing administrative support for board meetings, and handling notarization, apostillisation, and legalization requirements.
The ideal candidate will have an associate’s degree or equivalent, with 5-7 years of relevant legal experience. Experience with Ironclad, Microsoft Word, Microsoft Outlook, Microsoft Excel, Microsoft PowerPoint, Slack, and OneDrive is required. Equity/stock administration experience is also required. A paralegal certification is preferred. The candidate should be a self-starter able to manage multiple projects under pressure and independently, with excellent judgment, curiosity, integrity, dependability, collegiality, critical thinking, and a strong work ethic.
