Corporate Paralegal
Take-Two Interactive Software, Inc., a leading developer and publisher of interactive entertainment, is seeking a Corporate Paralegal to join its Legal Department in New York, NY. This role supports the company's network, including Rockstar Games, 2K, and Zynga, focusing on corporate governance and the maintenance of corporate records. The Corporate Paralegal will assist in preparing and maintaining corporate documents such as formation documents, board minutes, and shareholder resolutions. Responsibilities include administering the contract and document execution process, creating and maintaining corporate minute books and contract trackers, and coordinating with corporate service providers and outside counsel to manage legal entities and filings. The role also involves supporting corporate transactions, preparing various agreements, assisting with disclosure documents under US securities laws, conducting research, and performing clerical activities.
Candidates should possess a bachelor's degree and ideally have 1 to 3 years of experience as a Corporate Paralegal in a large law firm or in-house setting. The ideal candidate is personable, collaborative, and open to learning, with excellent attention to detail, strong written and verbal communication skills, and the ability to manage a high volume of detail-oriented work. Proficiency in MS Office and the ability to quickly learn new software applications related to document management are essential.
