The Lead Commercial Counsel, Lending Partnerships at Upstart will serve as a key legal advisor within the Lending Partnerships team, contributing to the company's mission of expanding access to affordable credit through innovative AI-driven solutions. This role involves close collaboration with internal stakeholders to support business objectives while ensuring compliance with applicable laws and regulations.

Key responsibilities include reviewing, drafting, and negotiating a wide range of commercial agreements, such as purchase agreements, loan sale agreements, servicing agreements, master services agreements, software licenses, and statements of work. The counsel will also develop processes and templates to streamline commercial transactions, supporting the company's rapid growth.

The ideal candidate will possess a J.D. degree with strong academic credentials and membership in a state bar (preferably NY or CA), along with at least 7 years of experience in transactional practice areas, such as technology transactions or capital markets. Experience with complex B2B SaaS agreements, particularly in regulated environments, is essential. The role requires a proactive problem-solver with a "can-do" attitude and the ability to manage complex negotiations effectively.
