Manager, Corporate Legal Affairs
NBCUniversal is seeking a Manager, Corporate Legal Affairs to support corporate governance, legal entity management, and compliance for its U.S. and Canadian subsidiaries. This role is part of a high-impact Corporate Secretary team that serves as the central resource for legal entity formation, governance, and compliance across NBCUniversal’s global portfolio of businesses. The ideal candidate will be a detail-oriented and collaborative professional who can manage a high volume of corporate governance activities, maintain data integrity across enterprise systems, and partner effectively with Legal, Tax, Finance, and external service providers.
Key responsibilities include providing corporate secretarial support for U.S. and Canadian entities, such as drafting secretary certificates and corporate certifications, preparing written consents, resolutions, and governance documentation, and maintaining corporate digital minute books. The role also involves preparing and filing annual reports and other statutory filings to maintain entities in good standing, tracking and managing compliance deadlines across a large portfolio of entities, supporting regulatory filings and responses to governmental or compliance-related inquiries, and providing corporate support in connection with litigation, arbitration, and regulatory matters. Additionally, the Manager will manage and maintain the corporate legal entity database, ensure timely and accurate updates to ownership, governance, and structural data, generate organizational charts and entity reports for internal stakeholders, and partner on system initiatives, including enhancements and data integrity efforts.
The ideal candidate should have at least 4 years of experience in corporate governance, corporate secretary, or legal entity management, with strong knowledge of U.S. corporate governance and compliance requirements. Experience with Canadian corporate governance and compliance is preferred. Proficiency in Microsoft Office Suite, particularly Excel, is required, and familiarity with corporate governance software is a plus. The candidate should possess excellent organizational skills, attention to detail, and the ability to manage multiple tasks simultaneously. Strong written and verbal communication skills, the ability to work collaboratively with cross-functional teams, and the capacity to maintain confidentiality and exercise discretion are essential.
Compensation for this role ranges from $80,000 to $100,000 annually.
