Paralegal - On-Site

Asure Software is seeking a Corporate Paralegal to join their legal team in downtown Austin, Texas. This on-site role involves supporting the company's legal department in various corporate governance and compliance matters. Asure Software specializes in Human Capital Management (HCM) solutions, offering services such as Payroll & Tax, HR, and Time & Attendance software, as well as HR services ranging from online compliance tools to a fully outsourced HR department.

In this position, the Corporate Paralegal will be responsible for reviewing and negotiating commercial contracts, including NDAs, MSAs, amendments, and other agreements. The role also involves drafting, reviewing, and revising sales and marketing agreements, technology contracts, and real estate leases. Additionally, the paralegal will act as a liaison between internal business partners, the legal department, and external vendors, ensuring that fully executed contracts are properly entered into the contracts management system. Other duties include assisting with corporate governance and entity management functions, supporting Board of Directors management, maintaining corporate records and filings, and providing general administrative support to the General Counsel.

Candidates should have at least three years of experience working with an in-house corporate legal department, law firm, or government. A bachelor's degree is preferred, but an associate's degree is required. Strong project management skills and attention to detail are essential. Excellent written and verbal communication skills, along with strong negotiation abilities, are also necessary. The ability to work independently, handle multiple projects, and prioritize tasks to meet deadlines is crucial. Cross-collaboration across legal and business functions is expected. A notary certification is preferred.

The compensation for this role ranges from $65,000 to $80,000 annually, depending on experience.
