Coinbase is seeking a Senior Counsel to lead its Shareholder Litigation team, focusing on defending the company against securities class actions and shareholder derivative suits. This role is integral to Coinbase's Legal - Litigation team, which handles high-stakes disputes, including federal securities claims and corporate governance issues. As the primary in-house contact for these proceedings, the Senior Counsel will shape litigation strategy from pleadings through resolution and advise senior leadership and the board on litigation risks.

Key responsibilities include managing securities class actions under the Securities Act of 1933 and the Securities Exchange Act of 1934, overseeing pleadings strategy, discovery, motions practice, expert work, and settlement negotiations. The role also involves leading the defense of shareholder derivative litigation, including handling pre-suit demand letters and related matters. Collaboration with corporate and commercial legal teams on public company filings and other related issues is essential.

Candidates should have over seven years of litigation experience, with significant time spent on securities class actions, shareholder derivative litigation, or related complex civil litigation at a leading law firm or in-house. A deep understanding of corporate law, including fiduciary duty standards and the Securities Laws, is required. Experience litigating in Delaware Chancery Court is preferred.

Compensation for this role includes an annual base salary ranging from $225,000 to $264,700, with additional equity and bonus eligibility.
