Seaport Therapeutics is seeking a Senior/Executive Director, Corporate Counsel to provide legal support across securities law compliance, corporate governance, and transactional matters. This role reports to the General Counsel and collaborates closely with cross-functional teams, including Finance, Investor Relations, Communications, and R&D, within a dynamic, science-driven organization. The position offers significant exposure to executive leadership and Board-level processes, contributing to financings, strategic transactions, and governance initiatives.

Key responsibilities include drafting and advising on SEC filings such as Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 filings. The role involves leading corporate disclosure processes, ensuring accuracy and timeliness, and assisting in the preparation of earnings materials and press releases. Additionally, the position supports Board of Directors and committee materials, maintains insider trading compliance programs, and develops corporate governance documents and policies.

The ideal candidate holds a Juris Doctor (J.D.) from an accredited U.S. law school and possesses 10-15 years of relevant experience, including SEC reporting and public company matters at a large law firm and/or in-house. Experience in biotechnology or pharmaceutical companies is preferred, with familiarity in clinical-stage or emerging growth companies considered advantageous. Strong knowledge of U.S. securities laws, SEC and Nasdaq reporting requirements, and corporate governance practices in the life sciences sector is essential.
