Our client, a leading global specialty chemicals company, has exclusively retained Solutus Legal Search to assist its executives in hiring a sophisticated attorney to serve as Senior Legal Counsel – Securities. The role will be located in the Company’s U.S. headquarters in Radnor, PA, with 4x per week in office required. This attorney will serve a critical role in supporting the company and its global parent with various legal issues, primarily focusing on securities law matters. The Senior Legal Counsel will manage sophisticated legal matters while interacting with senior business leadership and managers around the company. This role will report to the Associate General Counsel and Director M&A.

The Senior Legal Counsel will provide legal support to the corporate legal function focusing on compliance with SEC/NYSE regulations and related corporate governance initiatives. Responsibilities include assisting in the preparation and review of SEC Filings (including Forms 10-K, 10-Q, 8-K, proxy statements), press releases, investor presentations, and other public disclosures. The role also involves monitoring and analyzing regulatory developments in securities law and corporate governance, providing guidance on potential impacts to the company, and collaborating with internal stakeholders to ensure consistent and accurate disclosure practices. Additionally, the counsel will provide legal support for other corporate matters as they arise, including supporting M&A, financings, corporate governance, and other corporate law matters.

Candidates must possess strong academic credentials, including a J.D. or equivalent degree from a well-respected U.S. law school, and a license to practice in at least one state. A minimum of 5 years of relevant working experience, with strong training at a national or international law firm, is required; prior in-house experience is strongly preferred. A deep understanding of federal and state securities laws is essential, along with extensive experience in drafting and reviewing SEC filings, including Form 10-K, Form 10-Q, Form 8-K, proxy statements, and Section 16 filings. Experience in M&A, corporate finance, or other corporate law matters is a plus.
