Assistant General Counsel, Corporate & Securities
The Assistant General Counsel, Corporate & Securities at Eikon Therapeutics will serve as a senior leader within the Legal team, overseeing the company's public-company reporting obligations, securities law compliance, governance activities, and strategic transaction support. This role involves close collaboration with Finance, Investor Relations, Human Resources, Corporate Communications, and executive management to drive strategy and execution in a dynamic environment. Key responsibilities include leading the preparation and review of all SEC filings, such as Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Proxy Statements, and Section 16 filings. The role also entails designing and maintaining disclosure controls and procedures, managing the company's annual and quarterly reporting cycles, and coordinating the Disclosure Committee process. Additionally, the Assistant General Counsel will support Board of Directors and committee matters, provide guidance on governance requirements, oversee subsidiary governance, and advise on compliance with securities laws and stock exchange rules. The position also involves providing legal support for capital markets activities and strategic transactions, including mergers and acquisitions.
Candidates must possess a Juris Doctor (JD) degree with over 12 years of relevant corporate and securities law experience, including time at a top law firm and/or in-house at a public company. They should be licensed to practice law in at least one U.S. jurisdiction and have significant hands-on experience preparing and reviewing SEC filings. A demonstrated understanding of securities regulations and Nasdaq listing requirements is essential. The role requires excellent drafting, analytical, and communication skills, with the ability to manage multiple matters under tight deadlines. Strong business judgment, the ability to deliver practical, solution-oriented advice, and experience in the life sciences or pharmaceutical industry are strongly preferred.
Eikon Therapeutics offers a comprehensive compensation package, including a salary range of $243,000 to $266,000, depending on skills and experience.
