The Associate General Counsel, Transactions, will be an integral part of AbbVie's legal team, advising the Business Development and Acquisitions team and other key corporate functions. This role involves drafting and negotiating key transaction agreements, including mergers, acquisitions, licenses, collaborations, and options to license and acquire, while providing clear legal advice and addressing issues promptly with a cross-functional client base.

Key responsibilities include identifying and resolving complex legal issues, drafting and negotiating intricate corporate transactions, and managing M&A and pharmaceutical licensing and collaboration/joint venture transactions. The attorney will also stay abreast of changes in laws affecting pharmaceutical licensing and M&A transactions, including antitrust and competition laws, and other corporate and intellectual property matters. Additionally, the role involves selecting and directing the work of outside counsel and ensuring compliance with applicable corporate and divisional policies and procedures.

Required qualifications include a J.D. degree and meeting the professional licensing requirements of the state of practice within a two-year period. The candidate should possess excellent legal analysis skills, strong negotiating abilities, and the capacity to independently manage complex transactions. A minimum of 15 years of relevant transactional and/or industry experience is required, along with experience in advising on ongoing complex contractual relationships, such as development collaborations.

AbbVie offers a comprehensive compensation package, with a base salary range of $182,000 to $346,000 annually. Additional benefits include paid time off (vacation, holidays, sick leave), medical, dental, and vision insurance, and a 401(k) plan. This position is eligible to participate in both short-term and long-term incentive programs.
