LaunchDarkly is seeking a Commercial Counsel to join its expanding legal team, reporting to the Associate General Counsel, Head of Commercial Legal. This role involves supporting the Sales organization by drafting, negotiating, and closing commercial transactions for the company's SaaS products, as well as managing various vendor, channel, and partnership contracts. The position is remote within the United States, with compensation varying based on geographic zones.

Key responsibilities include independently negotiating customer-related agreements such as SaaS agreements, data processing agreements, distribution/partner agreements, and NDAs. The role also involves managing vendor contracts, providing clear legal advice on contract terms, participating in the creation and maintenance of contracting resources, and contributing to projects aimed at improving internal processes and scaling the department. Additionally, the Commercial Counsel will develop close working relationships with business stakeholders and assist with the implementation and maintenance of a contracts management system.

Candidates must be graduates of an ABA-accredited law school with bar admission in good standing and possess at least four years of relevant sales-side transactional experience, preferably with some in-house experience and international exposure. A strong understanding of SaaS contracting models, including data privacy and revenue recognition issues, is essential. Proven drafting and negotiation skills, flexibility, a sense of urgency, and the ability to manage multiple projects are also required. Experience with rapidly growing companies, data security and privacy laws, project management of cross-functional initiatives, and familiarity with tools like Ironclad, DocuSign, Confluence, and Salesforce/CPQ are preferred.

Compensation for this role varies by geographic zone: Zone 1 (San Francisco/Bay Area, NYC Metropolitan Area, Boston, Seattle) offers a salary range of $136,000 to $187,000; Zone 2 (Irvine, LA, Monterey, Santa Barbara, Santa Rosa, Austin, Portland, Philadelphia, Chicago) offers $122,000 to $168,000; and Zone 3 (all other US locations) offers $116,000 to $159,000.
