SecurityScorecard is seeking a Commercial Counsel to join its legal team, reporting to the General Counsel. This role involves providing strategic legal support to the company's go-to-market and technology organizations, focusing on complex commercial, regulatory, and strategic issues. The position is based in New York City with a hybrid work arrangement.

The Commercial Counsel will be responsible for reviewing, drafting, and negotiating a variety of commercial agreements, including enterprise SaaS agreements, data processing addenda, partnership and reseller agreements, professional services agreements, technology vendor contracts, and NDAs. A significant emphasis is placed on handling high-value and complex enterprise deals. Additionally, the role involves developing and maintaining contract playbooks, standard forms, fallback positions, and internal approval frameworks to enhance consistency and efficiency in commercial contracting.

Candidates should possess deep fluency in complex SaaS, data, and technology contracts, with the ability to close deals efficiently while protecting the company's interests. An agentic and AI-native mindset is essential, embracing AI-powered legal tools and automation to build scalable legal workflows. Strong strategic business partnership skills are required, balancing risk and opportunity with sound judgment. Operational rigor is necessary to help build the infrastructure of the legal team, including playbooks, escalation frameworks, metrics, and processes. Awareness of product and regulatory developments in cybersecurity, AI, and data privacy is also important.

SecurityScorecard offers a competitive salary, stock options, health benefits, unlimited PTO, parental leave, tuition reimbursements, and more. The estimated total compensation range for this position is $200,000 - $245,000 (base plus bonus). Actual compensation is based on factors such as skills, qualifications, and experience. Employees may also be eligible for annual performance-based incentive compensation awards and equity.
