Contract Review Attorney
SRS Acquiom is seeking a Contract Review Attorney to join our Contract Administration team. This role involves reviewing and analyzing primary transaction documents in M&A transactions to ensure accurate entry of post-closing obligations and deal terms into our proprietary database. The position reports to the Senior Director of Contract Administration and requires some travel to the Denver, CO office, up to 25%.
Key responsibilities include reviewing transaction documents such as merger, asset, or stock purchase agreements, escrow and paying agent agreements, and allocation spreadsheets to understand post-closing rights and obligations. The attorney will perform second-level reviews of data entered by first-level reviewers to ensure completeness and accuracy in our database. Additionally, the role involves confirming the accurate recording of standard deal points, answering contract interpretation questions from internal parties and deal stakeholders, and assisting the Compliance Team with various tasks as needed.
The ideal candidate will have graduated from an accredited law school and be a licensed attorney with a strong academic record. A minimum of 2-5 years of M&A experience with a major law firm or in-house corporate law department is required. Proficiency in Microsoft Office, particularly Excel and Word, is essential. The candidate should be highly motivated, detail-oriented, and capable of managing multiple tasks under tight deadlines while maintaining confidentiality and integrity.
The salary range for this position is between $105,000 and $120,000, depending on experience level.
