Contracts Attorney (B2B SaaS)

Censys is seeking a Contracts Attorney to lead its commercial contracting function within a fast-growing SaaS environment. Reporting to the Chief Financial Officer, this role is pivotal in managing the contracting lifecycle, ensuring efficient deal execution while maintaining risk standards. The attorney will collaborate closely with Sales, RevOps, Finance, and Security teams to streamline processes and support the company's expansion in enterprise and public-sector markets.

Key responsibilities include drafting, reviewing, and negotiating a variety of agreements such as SaaS contracts, enterprise MSAs, order forms, renewals, NDAs, DPAs, and security addenda. The role also involves supporting channel, reseller, marketplace, and strategic partner agreements, as well as public-sector and government-related contracts. Additionally, the attorney will develop and enforce contracting playbooks, templates, and fallback positions to ensure consistency and scalability.

The ideal candidate holds a JD from an accredited law school with active bar membership in at least one U.S. jurisdiction and possesses over five years of experience in commercial contracting within SaaS or technology sectors. Essential skills include expertise in negotiating enterprise SaaS agreements, a strong understanding of core commercial contract terms, and experience with government or public-sector contracts. The candidate should demonstrate the ability to manage a high volume of deals efficiently, exhibit strong organizational and execution skills, and maintain a pragmatic, business-oriented approach.

This is an hourly position offering compensation between $175 and $225 per hour, depending on experience and location.
