Contracts Lawyer
Harbor is seeking a Contracts Lawyer to join our growing consulting delivery team in the Philippines. This role involves providing strategic, technology, and operational services to clients in the legal, professional, and financial services industries. As part of Harbor's Business Operation Solutions (BOS) group, you will assist clients in procuring goods and services, reducing costs, optimizing business processes, and improving stakeholder value. This hybrid position is based out of Harbor's Makati City office, requiring a combination of in-office and remote work, with working hours aligned to U.S. Central Time (9:00 AM – 5:00 PM CT).
In this role, you will apply playbook standards to review, redline, and edit contract language, identify contractual options and strategies to resolve negotiation roadblocks under U.S. legal frameworks, and liaise with client in-house counsel for contract approvals. You will facilitate negotiations, act as a liaison across stakeholders, communicate contractual risks and obligations, manage the pipeline of contract reviews, maintain contract records and documentation, develop templates aligned with U.S. legal standards, and support vendor governance and risk management.
The ideal candidate holds a Bachelor of Laws (LLB) or Juris Doctor (JD) from a recognized institution and is an active member in good standing of the Integrated Bar of the Philippines. A minimum of 4 years of contract review experience is required, along with a strong understanding of U.S. commercial contract law. Experience with Master Service Agreements (MSAs), Software as a Service (SaaS) agreements, data privacy agreements, and licensing agreements is essential.
Additional qualifications include strong contract review, negotiation, legal analysis, and risk assessment skills, excellent English communication abilities, and experience supporting U.S. clients. Strong organizational and multitasking abilities, a proactive and detail-oriented approach, and client-focused mindset are also important. Knowledge of GDPR/CCPA is a plus.
