In this role, the Corporate Counsel will be instrumental in managing the full lifecycle of commercial contracts and providing legal guidance across the organization. Responsibilities include drafting, reviewing, and negotiating complex commercial agreements such as Enterprise Customer/Subscription Agreements (SaaS MSAs), Vendor/Procurement Agreements, Strategic Partner Agreements, Non-Disclosure Agreements (NDAs), and Statements of Work (SOWs). The position also involves supporting the Sales team with deal terms and Request for Proposal (RFP) responses, assisting in general corporate matters, compliance initiatives, internal policy development, employment matters, product-related legal guidance, and business disputes. Additionally, the Corporate Counsel will review and negotiate data security, privacy, and compliance terms in customer and vendor agreements, providing counsel on data protection issues, including GDPR, CCPA, and other relevant frameworks.

The ideal candidate will possess a J.D. degree from an accredited law school and be licensed and in good standing with a state bar association. With 1-5 years of relevant legal experience, preferably with law firm training or prior work at a SaaS company, the candidate should have a demonstrated interest in software and technology. Proficiency in reviewing, redlining, and negotiating complex legal terms, particularly in technology transactions and SaaS-related agreements, is essential. Certifications from the International Association of Privacy Professionals (IAPP) or similar privacy-related organizations are advantageous. Strong written and verbal communication skills, familiarity with data security and privacy regulations, and the ability to translate complex legal issues into clear business advice are crucial. The candidate should be highly organized, detail-oriented, and capable of managing multiple priorities and deadlines simultaneously.
