FalconX is seeking a Counsel for Corporate and FinTech Products to join their legal team in New York City. This role is integral to executing FalconX's global commercial strategy while maintaining corporate integrity. The company operates at the intersection of traditional finance and cutting-edge technology, addressing challenges in the digital asset market by providing comprehensive solutions for all digital asset strategies.
In this position, the Counsel will lead the drafting, negotiation, and review of complex commercial agreements, including SaaS licensing, strategic partnerships, vendor services, and client-facing institutional trading agreements. They will provide legal counsel on corporate governance frameworks, manage entity management tasks, and assist in preparing materials for Board of Directors meetings. The role also involves overseeing FalconX's intellectual property portfolio, managing trademark filings, advising on patent strategy, and ensuring robust IP protections in third-party collaborations. Additionally, the Counsel will support equity plan administration, internal restructurings, and intercompany agreements, track global regulatory developments in the digital asset and financial services space, and collaborate with Product, Engineering, and Sales teams to launch new features while adhering to financial regulations. They will also assist in handling commercial disputes, regulatory inquiries, and the development of internal legal policies.
Candidates should possess a Juris Doctor (JD) or equivalent legal degree from an accredited institution and active admission to a State Bar in good standing. A minimum of 5 years of legal experience is required, ideally beginning at a top-tier law firm followed by in-house experience at a high-growth fintech or digital asset platform. Deep experience in corporate law, commercial transactions (specifically SaaS and partnerships), and fintech regulations is essential. Familiarity or expressed interest in cryptocurrency, blockchain technology, and associated global regulatory frameworks is also important. The ability to distill complex legal concepts into actionable business advice for non-legal stakeholders is a key skill for this role.
The base salary for this position is expected to be between $196,000 and $248,000 annually in New York City. This role is also eligible for other forms of compensation, such as a performance-linked bonus, equity, and a competitive benefits package. Actual compensation will be determined based on factors such as location, skillset, experience, qualifications, and the level at which the candidate is hired.
