Fund Attorney - Assistant Vice President / Vice President
iCapital is seeking an Assistant Vice President or Vice President Fund Attorney to join its Funds Legal team, focusing on U.S. and Cayman private funds. This role involves representing both open-end and closed-end private funds across various matters, including compliance, regulatory issues, capital raising, marketing, investor relations, fund formation, and corporate transactions.
Key responsibilities include negotiating agreements with fund managers and distribution agents, drafting and reviewing private fund offering materials and partnership agreements, advising on legal implications of new and existing products and services, coordinating with outside legal counsel on regulatory and corporate matters, drafting and reviewing contracts and non-disclosure agreements, and assisting with regulatory filings and research projects.
Candidates should have over four years of fund formation experience in the investment management sector, strong knowledge of relevant U.S. securities laws and FINRA regulations, and be a member in good standing of the Utah Bar or another jurisdiction. Experience in a law firm or in-house at an asset management firm is advantageous. Strong interpersonal and leadership skills, a willingness to learn, and an organized, detail-oriented approach are essential.
The base salary range for this position is $160,000 to $220,000. iCapital offers a comprehensive compensation package, including salary, equity for full-time employees, an annual performance bonus, employer-matched retirement plan, subsidized healthcare with fully paid dental, vision, telemedicine, and virtual mental health counseling, parental leave, and unlimited paid time off. Employees are expected to work in the office Monday through Thursday, with the option to work remotely on Fridays.
