Lead Counsel - FlyCom
HubSpot is seeking a Lead Counsel to oversee its public reporting and governance functions. This role involves managing SEC disclosures, Board corporate secretarial processes, and driving M&A and other corporate legal projects. The position reports to the Director of Corporate Legal and is integral to HubSpot's Legal team, which aims to balance innovation with compliance in a rapidly scaling, AI-native company.
Key responsibilities include preparing and filing SEC reports such as Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports. The Lead Counsel will collaborate with Finance, Accounting, and Investor Relations to ensure alignment in legal, financial, and narrative disclosures. Additionally, the role involves leading Board and committee material preparation, addressing governance questions, and managing proxy and annual meeting workstreams. Supporting strategic transactions, including drafting and negotiating core deal documentation and coordinating due diligence, is also a critical aspect of the position.
The ideal candidate will have over 10 years of corporate and securities law experience at top law firms and/or in-house, with at least four years focused on public-company disclosure work. A deep understanding of '33 and '34 Act reporting, Section 16 compliance, Rule 10b5-1 plans, stock-exchange rules, and corporate-governance best practices is essential. Experience supporting Boards and/or Board committees, as well as deal experience in M&A and strategic investments, is required. The candidate should be comfortable working in a fast-paced, global technology company and possess a curiosity and passion for using AI tools in their daily work. A JD from an accredited law school and active bar membership in at least one U.S. jurisdiction are mandatory.
HubSpot offers a competitive compensation package, including a base salary ranging from $165,600 to $265,000 USD annually. Eligible roles may also participate in HubSpot's equity plan to receive restricted stock units (RSUs).
