M&A Lawyer - San Mateo, CA
Axiom is seeking an experienced M&A Lawyer to join our team, working with a prominent semiconductor client in San Mateo, California. This full-time, high-visibility role involves close collaboration with the client's legal team and cross-functional departments, including finance, HR, IP, privacy, engineering, and executive leadership. The position offers a hybrid work arrangement, combining on-site and remote work.
The M&A Lawyer will support IPO and transaction readiness efforts by strengthening corporate governance and subsidiary management, including foreign entities. Responsibilities include ensuring diligence quality documentation across material contracts, policies, and compliance frameworks, supporting M&A, strategic investments, and corporate transactions as needed, reducing reliance on outside counsel for core corporate execution work, and helping build the internal infrastructure necessary to withstand investor and acquirer scrutiny. The role requires someone who can operate in both preparation mode and deal mode, with the ability to execute independently while escalating strategic issues appropriately.
Candidates should possess five to eight years of corporate and M&A experience at a leading law firm, with significant exposure to IPO transactions, public company readiness, or sponsor-backed M&A. Experience supporting private equity transactions is strongly preferred, and technology sector experience is highly desirable. Strong drafting skills across purchase agreements, disclosure schedules, board materials, and corporate documentation are essential, along with a solid understanding of capitalization tables, equity plans, and subsidiary structures. Familiarity with diligence processes and investor expectations, as well as the ability to translate legal issues into practical business risk assessments, is crucial.
The estimated total compensation for this role ranges from $104,500 to $325,000 per year. Compensation decisions are based on various factors, including experience, skills, certifications, location, and business needs.
