Registered Fund Attorney - Vice President
iCapital is seeking a Registered Fund Attorney at the Vice President level to join its Legal team. This role focuses on representing perpetual capital vehicles within the 1933 and 1940 Act space, addressing compliance and regulatory issues, capital raising, marketing, investor relations, fund formation and structuring, and corporate transactional matters. Additionally, the position involves representing other investment products, including unit investment trusts (UITs) and exchange-traded funds (ETFs). The successful candidate will serve as a key legal resource for the registered funds business.
Key responsibilities include negotiating agreements with counterparties such as distributors, service providers, fund managers, and various closed-end funds registered under the 1940 Act. The role also involves drafting and reviewing registered fund offering materials, private fund, UIT, and ETF legal documentation. The attorney will assist regulatory and compliance teams with provisions of the 1933 and 1940 Acts, advise on legal implications of offering new and existing products and services, coordinate with outside legal counsel on regulatory and corporate matters, review materials for SEC and FINRA compliance, draft and review various contracts and non-disclosure agreements, perform ad hoc research projects, and collaborate with other Legal and Compliance team members on product and regulatory matters.
The ideal candidate should have 4-5+ years of fund formation experience within the registered fund or mutual fund space, with strong knowledge of the 1933 Act and 1940 Act, and Forms N-1A and N-2. Membership in good standing of the Utah Bar or another state or jurisdiction is required. Experience in a law firm or in-house at an asset management firm is a plus, as is familiarity with the 1934 Act, Commodity Exchange Act, and NFA Rules. Experience working with UITs and ETFs is preferred. Strong interpersonal and communication skills, a willingness to learn new topics, and the ability to work in an evolving business environment are essential. The candidate should be organized and detail-oriented with the capability to see the big picture.
The base salary range for this role is $200,000 to $240,000. iCapital offers a compensation package that includes salary, equity for all full-time employees, and an annual performance bonus.
