iCapital is seeking a Registered Fund Attorney at the Vice President level to join its Legal team. This role focuses on representing perpetual capital vehicles under the 1933 and 1940 Acts, addressing compliance, regulatory issues, capital raising, marketing, investor relations, fund formation, and corporate transactional matters. Additionally, the position involves representation of other investment products, including unit investment trusts (UITs) and exchange-traded funds (ETFs). The successful candidate will serve as a key legal resource for the registered funds business.

Key responsibilities include negotiating agreements with distributors, service providers, fund managers, and various closed-end funds registered under the 1940 Act. The role also involves drafting and reviewing offering materials for registered funds, as well as legal documentation for private funds, UITs, and ETFs. The attorney will assist with compliance related to the 1933 and 1940 Acts, advise on legal implications of new and existing products and services, coordinate with outside legal counsel on regulatory and corporate matters, review materials for SEC and FINRA compliance, and draft various contracts and non-disclosure agreements. Additionally, the role includes performing ad hoc research projects and collaborating with other Legal and Compliance team members on product and regulatory matters.

The ideal candidate should have 4-5+ years of fund formation experience within the registered fund or mutual fund space, with strong knowledge of the 1933 and 1940 Acts and Forms N-1A and N-2. Membership in good standing of the Utah Bar or another state or jurisdiction is required. Experience in a law firm or in-house at an asset management firm is a plus, as is familiarity with the 1934 Act, Commodity Exchange Act, NFA Rules, UITs, and ETFs. Strong interpersonal and communication skills, a willingness to learn, and an organized, detail-oriented approach with big-picture capabilities are essential.

The base salary range for this role is $200,000 to $240,000. iCapital offers a compensation package that includes salary, equity for all full-time employees, and an annual performance bonus.
