Securities & Prime Brokerage Counsel
Axiom is seeking a Securities & Prime Brokerage Counsel to join its Financial Services team in New York. This role involves providing expert legal advice and support to clients in securities trading and prime brokerage, ensuring compliance with evolving margin lending rules and regulatory frameworks. The position offers a unique opportunity to collaborate with leading financial institutions on complex securities agreements, margin regulations, and cross-asset transactions.
Key responsibilities include drafting, reviewing, and negotiating securities trading agreements, prime brokerage agreements, and related margin documentation. The counsel will provide legal guidance on margin lending regulations, including FINRA Rule 4210, Regulation T, and Regulation U compliance. Collaboration with internal teams, trading desks, and clients on cross-asset transactions such as swaps, options, futures, equities, and fixed income instruments is essential. Managing regulatory compliance, risk mitigation, and operational issues for clients in financial services and capital markets is also a critical aspect of the role. Staying ahead of industry trends and updated margin rules to provide proactive counsel is expected.
Candidates should have over three years of experience in securities law, prime brokerage, or financial services legal practice. A strong knowledge of U.S. securities regulations, including the Securities Act of 1933 and Securities Exchange Act of 1934, is required. A proven track record of advising clients on securities trading agreements, margin lending, and regulatory compliance is essential. Excellent communication, negotiation, technology, and problem-solving skills are necessary. A Juris Doctor (JD) degree or equivalent and licensure to practice law in an applicable jurisdiction are mandatory.
The estimated total compensation for this full-time role ranges from $104,500 to $325,000 per year. Compensation decisions are based on various factors, including experience, skills, certifications, location, and business needs.
