The Senior Corporate Counsel - Legal Transactions at Five9 will play a pivotal role within the legal team, focusing on corporate and securities matters. This position involves managing public company filings, ensuring compliance with securities laws, and overseeing various corporate governance activities. Key responsibilities include handling all aspects of public company reporting, such as preparing and analyzing 10-Ks, 10-Qs, 8-Ks, and Section 16 filings. The role also involves leading the development of proxy statements, managing related party transactions, and advising on executive compensation disclosures. Additionally, the Senior Corporate Counsel will oversee compliance with SEC and Nasdaq regulations, collaborate with investor relations on shareholder engagement, and manage the company's Insider Trading Policy.

The ideal candidate will possess a Juris Doctor degree from an accredited law school and active bar membership. A minimum of 7 years of relevant experience in a law firm or in-house legal department is required, with a strong preference for those with significant in-house public company securities experience. Deep knowledge of U.S. securities laws, corporate governance, and disclosure obligations is essential. The candidate should demonstrate excellent negotiation, communication, and strategic thinking skills, along with the ability to manage multiple projects in a fast-paced environment.
