Axon Enterprise is seeking an Assistant General Counsel specializing in Mergers & Acquisitions (M&A) to join their legal team. This role is based in New York, NY, and reports directly to the Chief Legal Officer (CLO). The ideal candidate will have a strong background in corporate law, particularly in M&A, and a passion for technology and public safety.

In this position, the Assistant General Counsel will be responsible for developing and implementing legal strategies for M&A activities, ensuring alignment with the company's business objectives. Key duties include advising on securities laws and reporting requirements, driving corporate governance practices in partnership with the CLO, leading due diligence processes for potential M&A and capital markets transactions, managing external legal counsel, and collaborating with the Strategy & Corporate Development team on complex M&A work. Additionally, the role involves preparing and presenting legal analyses to the executive team and board of directors, drafting and negotiating transaction documents, ensuring compliance with securities laws, liaising with regulatory authorities, and providing post-merger integration legal support.

Candidates should possess a Juris Doctor (J.D.) from an accredited institution with outstanding academic credentials and be admitted to a State Bar within the United States. A minimum of 5-7 years of experience at a top-tier law firm is required, with in-house experience considered a plus. Demonstrated expertise in M&A, securities law, and corporate governance is essential, along with extensive experience managing complex M&A transactions, preferably within the technology or financial services sectors. Strong writing, analytical, negotiation, communication, strategic thinking, and presentation skills are necessary, as well as a solid understanding of corporate and securities laws, regulations, and industry standards. Leadership abilities, attention to detail, problem-solving skills, and the capacity to work effectively in a dynamic team environment are also important.

The compensation package includes a competitive salary ranging from $250,000 to $300,000 per year, along with a 401(k) plan featuring employer matching.
