Associate, Greater China Capital Markets
Clifford Chance, a leading international law firm with over 30 offices worldwide, is seeking a highly motivated and skilled Capital Markets Associate to join their dynamic team in Hong Kong. The successful candidate will be involved in a wide range of Greater China IPO transactions, including equity capital markets (ECM) and some debt capital markets (DCM) transactions. This role requires a deep understanding of financial markets and the ability to navigate complex legal and regulatory frameworks across multiple jurisdictions.
Key responsibilities include drafting, reviewing, and negotiating legal documentation related to Greater China equity capital markets and debt capital markets transactions. The associate will advise clients on transactions such as IPOs, follow-on offerings, and debt issuances, and will draft and negotiate transaction documents, including prospectuses, underwriting agreements, and disclosure materials. Liaising with regulatory bodies and stock exchanges in Mainland China and Hong Kong, supporting client meetings, due diligence sessions, and deal execution across Greater China, collaborating with colleagues across practices and jurisdictions to deliver seamless client service, and participating in client meetings and conference calls to discuss transactional structures and legal issues are also key aspects of the role.
The ideal candidate will be a qualified lawyer with a minimum of 1 year post-qualification experience in capital markets within a reputable law firm or financial institution. Strong academic credentials in law are essential, along with proficiency in English and Mandarin. A proven track record in managing capital markets transactions, excellent legal drafting and negotiation skills, the ability to work under pressure and manage multiple deadlines in a fast-paced environment, strong analytical, communication, and interpersonal skills, and a commitment to delivering high-quality work are also required.
