Contracts Attorney
WebChart, established in 1995, is a leading provider of electronic health record (EHR) systems and healthcare IT solutions. Their flagship platform offers a robust clinical EHR, serving as the foundation for various clinical applications. The company is headquartered in Fort Wayne, Indiana, and has a team of 51-200 employees.
The Contracts Attorney will play a pivotal role in supporting WebChart's growing software business by drafting, reviewing, negotiating, and managing commercial agreements with both prospective and existing customers. This position requires close collaboration with Sales, Customer Success, Finance, and Executive teams to facilitate timely contract execution while safeguarding the company's legal and business interests.
Key responsibilities include drafting, reviewing, and negotiating a wide variety of commercial agreements, partnering with Sales and Customer Success teams to negotiate customer agreements, providing practical legal advice on contract terms and compliance, identifying legal and operational risks, maintaining and improving standard contract templates, assisting with customer and vendor contract management, supporting due diligence efforts, and handling other commercial legal matters as assigned.
The ideal candidate should possess a Juris Doctor (J.D.) from an accredited law school, be licensed to practice law in at least one U.S. jurisdiction, and have 2–5 years of experience in commercial contract law. Experience in drafting and negotiating SaaS or enterprise software agreements is essential, along with a strong understanding of commercial contracting principles and risk management. Excellent written and verbal communication skills, the ability to manage multiple priorities in a fast-paced environment, and strong business judgment are also required.
Preferred qualifications include familiarity with privacy and data security provisions such as HIPAA and GDPR, experience working with enterprise customers and complex commercial negotiations, knowledge of intellectual property issues for SaaS companies, and experience in the healthcare sector.
