Director, Corporate and Securities Counsel
Roblox is seeking a seasoned Corporate and Securities attorney to join its expanding legal team. This role, based at the company's San Mateo, CA headquarters, involves leading securities law and governance matters while managing a small team of legal professionals. The position reports to the VP, Deputy General Counsel and Chief Compliance Officer.
Key responsibilities include directing the preparation and filing of SEC reports (10-K, 10-Q, 8-K) and ensuring NYSE compliance, leveraging AI tools to enhance disclosure drafting and consistency. The role also involves overseeing the preparation and review of earnings releases and public announcements in collaboration with Finance, Investor Relations, and Marketing. Additional duties encompass managing board and committee logistics, overseeing domestic and international subsidiaries, and providing legal advice on stock plans, executive compensation, investor relations, shareholder outreach, affiliate transactions, and other corporate matters.
Candidates should have strong academic credentials and be a California-admitted lawyer with over 12 years of legal experience, preferably with public company in-house experience. Outstanding written and verbal communication skills are essential, along with the ability to manage teams and influence stakeholders at all organizational levels. The role requires proficiency in project management, the ability to thrive in a fast-paced environment, and experience in using AI to improve processes and document preparation.
The starting base pay for this position is as shown below. The actual base pay is dependent upon a variety of job-related factors such as professional background, training, work experience, location, and other business needs.
