EMEA Legal Counsel - Assistant Vice President
iCapital is seeking an Associate Vice President, EMEA Legal Counsel to join its International Legal Team, focusing on private funds in the EMEA region, particularly those domiciled in Luxembourg and the Cayman Islands. This role involves collaboration with various teams, including Client Solutions, Product Development and Structuring, Regulatory & Compliance, and other operational units, contributing to the company's growth and expansion.
The primary responsibilities include drafting and negotiating agreements with leading fund managers and distribution agents, reviewing private fund offering materials and partnership agreements, coordinating with external legal counsel on regulatory and corporate matters, and driving legal projects to completion within set timelines and budgets. Additionally, the role involves engaging in the development and execution of new initiatives, structures, and business lines as the company evolves.
The ideal candidate should possess 2-3 years of fund formation experience within the investment management sector, specifically in private equity and hedge funds. Qualifications include being a member in good standing of the New York Bar or qualified in Luxembourg, the U.K., or another jurisdiction. A strong understanding of Luxembourg corporate structures and regulatory matters is essential, with knowledge of U.S. securities laws considered a plus. Excellent interpersonal and communication skills, a proactive attitude, and the ability to work cross-functionally are also important.
