iCapital is seeking an Assistant Vice President or Vice President Fund Attorney to join its Funds Legal team, focusing on U.S. and Cayman private funds. This role involves representing both open-end and closed-end private funds across various areas, including compliance, regulatory issues, capital raising, marketing, investor relations, fund formation, structuring, and corporate transactions. The ideal candidate will have substantial experience in drafting and negotiating fund documents, side letters, placement agreements, and related materials.

Key responsibilities include negotiating agreements with counterparties such as fund managers and distribution agents, drafting and reviewing private fund offering materials and partnership agreements, advising on the legal implications of new and existing products and services, coordinating with outside legal counsel on regulatory and corporate matters, drafting and reviewing various contracts and non-disclosure agreements, and assisting with regulatory filings and research projects as needed.

Candidates should possess at least 4 years of fund formation experience within the investment management sector, with strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations. Membership in good standing with the New York Bar or another state or jurisdiction is required. Experience in a law firm or in-house at an asset management firm is advantageous. Strong interpersonal and leadership skills, a willingness to learn in an evolving business environment, and an organized, detail-oriented approach with the ability to see the big picture are essential.

The base salary range for this position is $200,000 to $240,000. iCapital offers a comprehensive compensation package that includes salary, equity for all full-time employees, and an annual performance bonus.
