As Lead Commercial Counsel at Karat, you will play a pivotal role in navigating a mix of services and software agreements, particularly focusing on dynamic, usage-based, and consumption pricing models. This position is integral to defining partnership terms and agreements, ensuring they align with Karat's strategic objectives. You will be part of a dedicated Legal team that supports Karat's mission to transform technical hiring through expert-led interviews and robust analytics.

Your primary responsibilities will include counseling on the risks and opportunities of proposed commercial actions, translating complex legal considerations into practical, solution-oriented guidance that meets cross-organizational business objectives while protecting core legal interests. You will own all legal aspects of deal processes and customer engagements, leveraging insights across commercial law, product and pricing strategy, and data ownership. Additionally, you will partner with go-to-market leaders and finance teams to negotiate enterprise-level customer agreements that support Karat's sales cycles and capacity, and collaborate with product and delivery teams on innovation, integrations, and delivery operations.

The ideal candidate will possess a J.D. degree from an accredited law school and active bar admission in at least one U.S. state. You should have over six years of legal experience, with significant in-house experience; a focus on product law, data privacy, or technology law is strongly preferred. A background in technology, talent assessment platforms, or professional services/workforce solutions is also highly desirable. Experience in improving and operationalizing legal processes in a high-growth environment, with a track record of effective cross-functional collaboration, is essential. Excellent business judgment and the ability to balance risk and reward, providing pragmatic, solution-oriented advice that protects core legal interests while enabling business growth, are crucial. Experience with and interest in leveraging AI and defining AI governance and emerging technology legal frameworks will be advantageous.
