M&A Lawyer
Axiom is seeking an experienced M&A Lawyer to join its team, providing high-caliber support for mergers, acquisitions, divestitures, strategic investments, and joint ventures. As part of Axiom's in-house M&A practice, the lawyer will collaborate with clients across various industries, offering strategic guidance throughout the transaction lifecycle.
The role involves advising on a broad range of corporate transactions, including mergers, acquisitions, disposals, restructurings, flotations, takeovers, buy-ins, buyouts, joint ventures, and private equity and fund investments. Responsibilities include supporting transaction structuring, due diligence, risk assessment, and execution, working closely with stakeholders to deliver commercially focused outcomes. The lawyer will draft, negotiate, and review a wide range of corporate documentation, such as share purchase agreements, ancillary documents, disclosure letters, engagement letters, confidentiality agreements, offering memoranda, shareholders’ agreements, and joint venture agreements. Leading negotiations with counterparties and advising on key contractual provisions, transaction mechanics, warranties and indemnities, and completion arrangements are also key aspects of the role.
Ideal candidates should possess a strong background in M&A law, with a proven track record of successfully managing and executing complex M&A transactions. A minimum of 3 years of experience practicing as an M&A attorney at an AmLaw firm or F500 in-house legal department is required. Experience working on mergers, acquisitions, joint ventures, divestitures, private equity, or fund investments is essential. Strong knowledge of federal and state corporate and securities laws, regulations, and practices related to M&A transactions is necessary. An active bar license in the state of residence is also required.
