Senior Associate – Transactional Funds and Regulatory Advisory

This role involves providing comprehensive legal advice on investment funds, including fund formation, structuring, regulatory compliance, and transactional matters. Key responsibilities include offering regulatory guidance on Hong Kong Securities and Futures Commission (SFC) regulations and other relevant international laws affecting funds and asset managers, encompassing licensing, ongoing compliance, and regulatory investigations. The role also involves advising on the structuring, offering, and distribution of retail and private funds, as well as addressing regulatory aspects related to digital assets, tokenization, and virtual asset service providers. Additional duties encompass drafting, reviewing, and negotiating fund documentation, advising on fund-related transactions such as secondary transfers, co-investments, and joint ventures, supporting clients with compliance and regulatory matters, liaising with regulatory authorities, and mentoring junior lawyers.
Candidates should be qualified solicitors in Hong Kong or another common law jurisdiction, with a minimum of five years' post-qualification experience in investment funds, asset management, or financial regulatory work, preferably gained at an international law firm. Strong technical knowledge of Hong Kong funds and regulatory frameworks is essential, and experience with cross-border matters is advantageous. Proficiency in advising on digital assets, tokenization, and virtual asset regulatory issues is preferred. Excellent drafting, negotiation, and communication skills in English are required, with proficiency in Chinese (Cantonese or Mandarin) considered an advantage.
