Assistant General Counsel, EvolutionIQ (CCC Intelligent Solutions)
As the Assistant General Counsel at EvolutionIQ, a subsidiary of CCC Intelligent Solutions, you will play a pivotal role in supporting the Sales and go-to-market teams by facilitating strategic commercial agreements. Your primary responsibility will be to draft, review, and negotiate SaaS agreements and related contracts with clients, primarily large insurance carriers, ensuring that these agreements align with the company's objectives and legal standards.
In this role, you will lead negotiations with customer legal, procurement, privacy, security, and business stakeholders, particularly for enterprise and strategic SaaS transactions. You will provide practical guidance to internal teams on contract terms related to liability, indemnity, warranties, service levels, termination rights, payment terms, data usage, confidentiality, privacy, security, AI, and intellectual property. Additionally, you will collaborate with internal stakeholders to assess and negotiate provisions concerning privacy, cybersecurity, data protection, AI-related matters, and intellectual property within customer, partner, and vendor contracts.
The ideal candidate will possess a Juris Doctor (J.D.) degree from an accredited law school and active membership in at least one U.S. state bar. You should have proven experience drafting and negotiating SaaS, software licensing, technology services, enterprise customer, vendor, and partnership agreements. A strong understanding of key SaaS contract issues, including limitation of liability, indemnification, warranties, service levels, data protection, confidentiality, audit rights, termination, payment, and renewal terms, is essential. Exceptional communication skills and the ability to explain contract risks and negotiation trade-offs clearly to non-legal stakeholders are also required.
EvolutionIQ offers a competitive base salary range of $260,000 to $285,000, with flexibility depending on a candidate’s background and experience.
