Divergent is seeking a Corporate Counsel to join its legal team in Torrance, California. This role involves collaborating with various business units, including sales, procurement, and product development, to support the company's growth and enhance its legal and compliance functions. The Corporate Counsel will play a pivotal role in managing commercial and corporate legal matters during a critical expansion phase.

Key responsibilities include drafting, reviewing, negotiating, and managing a wide range of commercial contracts, such as technology and SaaS agreements, supply contracts, and professional services agreements. The role also involves developing legal standard operating procedures, providing training to internal teams on legal standards and regulatory expectations, and advising on global trade compliance frameworks, including EAR/ITAR classifications and licensing. Additionally, the Corporate Counsel will support contract management processes and assist with investigations and disputes as needed.

Candidates must possess a Juris Doctorate and have at least three years of experience in complex commercial transactions, mergers and acquisitions, or regulatory compliance. Those with litigation backgrounds interested in transitioning to transactional and counseling work will also be considered. Excellent judgment, discretion, organizational skills, and strong verbal and written communication abilities are essential. The ability to lawfully access information and technology subject to U.S. export controls is required.

The position offers a competitive salary range of $148,430 to $204,090, along with a comprehensive compensation package that includes an equity plan and discretionary results-based incentive bonuses.
