Corporate Counsel
Qualia, a leading B2B real estate technology company, is seeking a Corporate Counsel to join their dynamic Legal team in San Francisco, CA. Founded in 2015, Qualia has developed a digital closing platform that simplifies and secures the home buying and selling process, connecting homebuyers, sellers, lenders, title and escrow agents, and real estate professionals. The Legal team plays a crucial role in supporting various business functions, ensuring compliance, and facilitating strategic initiatives.
As Corporate Counsel, you will be responsible for managing corporate legal matters and commercial contracts. Your corporate duties will include preparing board and stockholder consents, resolutions, and meeting materials, maintaining corporate records, supporting equity management, and assisting with legal aspects of financings, mergers and acquisitions, and other corporate transactions. On the commercial side, you will draft, review, and negotiate a high volume of agreements, including strategic partnerships, customer contracts, and procurement agreements, while advising business teams on deal structures and associated risks.
The ideal candidate will possess a Juris Doctor (JD) and an active bar membership in good standing in at least one U.S. jurisdiction. With 3–6 years of corporate experience at a law firm or in-house at a technology company, you should have hands-on experience in corporate governance, venture financings, mergers and acquisitions, and drafting commercial agreements such as partnership, SaaS, and procurement contracts. A solid understanding of intellectual property, data protection, and privacy issues in software agreements is essential. Strong communication and negotiation skills, the ability to work collaboratively and independently, and experience using generative AI tools in legal work are also important.
This role offers a competitive annual base salary ranging from $200,000 to $230,000, complemented by a comprehensive equity and benefits package.
