Corporate Legal Specialist
Anthropic is seeking an experienced Corporate Legal Specialist to join its Corporate Legal team. This role involves supporting entity and board management, governance, and corporate transactions across Anthropic's expanding portfolio of U.S. and international entities. The position is ideal for individuals who thrive in a fast-paced, high-volume environment and are adept at developing procedures and processes within a rapidly scaling company.
Key responsibilities include managing the full lifecycle of U.S. entity administration, maintaining accurate corporate records, supporting board and shareholder governance matters, assisting with new entity incorporations and structuring, and coordinating signatory authority and corporate approvals. The role also involves responding to diligence requests related to financings, acquisitions, audits, commercial transactions, and regulatory inquiries, as well as continuously improving entity management tools and workflows.
Candidates should have at least 8 years of relevant experience in a paralegal role within a corporate legal department or law firm. Proven expertise in U.S. entity management and corporate administrative and compliance work is required, with international entity management experience preferred. Strong experience with entity structuring, including incorporations, dissolutions, mergers, and restructurings, is essential. The ideal candidate will be highly organized, detail-oriented, and capable of managing multiple simultaneous matters with accuracy.
