Zip Co Limited is seeking a Deputy Company Secretary to join its Legal and Governance team, which plays a pivotal role in supporting strong decision-making, transparency, and trust across the organization. This team collaborates closely with leaders in legal, compliance, finance, strategy, risk, and investor relations to ensure Zip operates with integrity and agility. The Deputy Company Secretary will support the effectiveness of the Zip Co Limited Board and its Committees, as well as the boards of various Australian and New Zealand subsidiaries.

Key responsibilities include delivering high-quality secretariat services for the Board and Committees, such as preparing agendas, papers, resolutions, and tracking actions. The role involves ensuring smooth Board and Committee processes with clear timelines for material preparation, circulation, and follow-up. Attending governance forums and drafting accurate, concise minutes are also essential duties. Additionally, the Deputy Company Secretary will assist with the preparation and lodgment of ASX announcements and forms, manage corporate registers and records, and support compliance with ASX reporting obligations, ASIC lodgments, and other statutory requirements for Zip Co Limited and its ANZ subsidiaries.

The ideal candidate will have extensive governance experience in a regulated, ASX-listed environment, with a strong understanding of board and committee operations. A minimum of 8 years' experience in company secretariat or governance roles is required, along with a law degree; a Graduate Diploma of Applied Corporate Governance is considered advantageous. Proficiency in the ASX Listing Rules, Corporations Act 2001 (Cth), and corporate governance principles is essential. Hands-on experience with Diligent Boards, exceptional written and verbal communication skills, and the ability to engage confidently with senior leaders and directors are also necessary. Strong organizational skills, the capacity to prioritize competing deadlines in a fast-paced environment, and a proactive, collaborative mindset with high attention to detail are key attributes for success in this role.
