Bosch Rexroth India is seeking an Assistant Manager or Deputy Manager for Company Secretarial & Legal functions. This role is integral to ensuring compliance with corporate laws and providing legal support within the organization. The position is based at Bosch Rexroth's India headquarters, a subsidiary of Bosch Rexroth AG, a global leader in drive and control technologies.
The selected candidate will be responsible for conducting Board, CSR, and General meetings in accordance with the Companies Act, 2013, including virtual meetings via video conferencing. Duties include regular filings with the Ministry of Corporate Affairs, maintaining statutory records, and ensuring compliance with depository participants for the company's DEMAT account. Additionally, the role involves supporting shareholders with document verification for IEPF releases and implementing digitalization initiatives in secretarial practices.
The role requires compliance with FEMA and other statutory provisions, including filing Foreign Collaboration Surveys and monthly returns under the Collection of Statistics Act. The candidate will also oversee CSR compliance, including budget finalization, tracking, and ensuring timely transfers to unspent CSR accounts. Drafting MoUs for CSR projects and conducting due diligence for implementation partners are also key responsibilities.
Legal support duties encompass drafting and executing Non-Disclosure Agreements, undertakings, and declarations as per customer requirements. The candidate will assist internal stakeholders with digital signature certificates, draft and execute Power of Attorneys, and coordinate rental agreements for sales offices and warehouses across India. Managing legal suits filed on behalf of the company and acting as the Export Control Officer to ensure compliance with export control guidelines are also part of the role.
The ideal candidate will possess an LLM, Inter CS, or CS qualification with 10-12 years of experience in legal and secretarial domains. Strong knowledge of corporate laws, excellent organizational skills, and the ability to manage multiple responsibilities are essential. Experience in a corporate legal environment, particularly within the manufacturing sector, is preferred.
