Principal Counsel, M&A and Corporate
HubSpot is seeking a Principal Counsel to lead its Mergers and Acquisitions (M&A) and Corporate legal functions. This role involves serving as the primary legal advisor on M&A activities, strategic investments, and other corporate development initiatives, guiding these processes from initial evaluation through post-close integration. The position is integral to HubSpot's Legal team, which acts as a proactive partner to the business, ensuring compliance and facilitating growth in a dynamic, AI-driven environment.
Key responsibilities include leading due diligence efforts, managing deal structures, and negotiating transaction documents. The Principal Counsel will collaborate closely with cross-functional teams, including Corporate Development, Finance, and senior leadership, to provide real-time legal advice and support. Additionally, the role involves developing and maintaining deal infrastructure, such as playbooks and standard forms, to streamline future transactions.
The ideal candidate will have over 10 years of experience in corporate and securities law, with significant exposure to public-company disclosure work. A deep understanding of SEC reporting requirements, corporate governance best practices, and experience supporting Boards and Board committees is essential. Proficiency in managing M&A transactions, including drafting and negotiating core deal documents, is also required. A Juris Doctor (JD) degree from an accredited law school and active bar membership in at least one U.S. jurisdiction are mandatory.
HubSpot offers a competitive compensation package, with an annual cash compensation range between $165,600 and $265,000 USD.
