Corporate Clerk / Paralegal

The Corporate Clerk / Paralegal will play a critical role in maintaining the corporate infrastructure across Beacon and its growing portfolio of companies. Responsibilities include managing corporate records, entity administration, minute books, DBAs, and compliance obligations across multiple jurisdictions in the U.S. and Canada. This position ensures that all corporate governance practices are current, complete, and accessible for internal stakeholders and external advisors.
Key duties involve maintaining and organizing corporate records, preparing and filing board and shareholder resolutions, supporting entity formation and dissolution processes, managing DBA and trade name filings, and ensuring compliance with corporate filing obligations across various jurisdictions. The role also includes coordinating with external counsel, registered agents, and other service providers, as well as managing KYC documentation and supporting post-acquisition integration efforts.
Candidates should have 3–5 years of experience as a corporate clerk, paralegal, or in a corporate governance/legal support role, preferably within a multi-entity environment such as private equity, venture capital, or holding companies. A strong knowledge of corporate governance practices, minute book management, and entity lifecycle administration is essential, along with familiarity with U.S. state and Canadian provincial corporate filing requirements. Exceptional organizational and project management skills are also required.
