Corporate Counsel
As Corporate Counsel at xAI, you will play a pivotal role in guiding the company's mergers and acquisitions (M&A), securities, and strategic transactions on a global scale. This position is integral to xAI's mission of developing AI systems that accurately understand the universe and assist humanity in its pursuit of knowledge. The legal team at xAI collaborates across all functions, including engineering, product development, finance, and operations, to drive business velocity, protect intellectual property, navigate AI regulations, and mitigate risks in a dynamic environment.
Your primary responsibilities will include leading domestic and international M&A and strategic transactions, encompassing diligence, deal structuring, drafting and negotiating agreements, and preparing board materials. You will provide counsel on securities matters, including SEC reporting, disclosures, insider trading policies, and corporate governance. Additionally, you will oversee equity compensation, corporate governance, and subsidiary management, ensuring compliance and operational alignment post-transaction.
The ideal candidate will possess a Juris Doctor (J.D.) degree from an accredited law school and active membership in the California bar. A minimum of five years of experience in Corporate or M&A law at a top-tier national law firm is required, with additional experience in Capital Markets and securities considered a strong plus. Candidates should demonstrate deep expertise in domestic and cross-border M&A, exceptional communication skills, and the ability to provide pragmatic, business-aligned legal advice in a fast-paced environment.
