Director, Company Secretary - Subsidiaries
As the Director, Company Secretary - Subsidiaries at AirTrunk, you will report to the Group Company Secretary and collaborate closely with various teams and leadership across the Asia Pacific region. In this role, you will oversee compliance with statutory and regulatory obligations for all subsidiaries within the AirTrunk Group, ensuring adherence to company policies and protection of AirTrunk's rights. Key responsibilities include managing a team to provide guidance and support, overseeing company secretarial service providers across jurisdictions, and acting as a trusted advisor to directors and officers. You will also support the Group Company Secretary and Boards on governance matters, review and prepare board papers, and lead initiatives to improve corporate governance functions.
The ideal candidate will possess a tertiary qualification in law, with general corporate and M&A experience being desirable. A minimum of 10 years' experience as a company secretary, preferably with governance qualifications, is required. Experience across multiple jurisdictions and with sophisticated board structures is highly regarded. A comprehensive understanding of the Singapore Companies Act or the Australian Corporations Act, along with knowledge of tax structuring and governance, is essential. Strong interpersonal skills, problem-solving abilities, and adaptability to a fast-paced environment are also crucial.
